Terms & Conditions

1. Acceptance of terms.

Welcome to salkala website. Salkala is a bilingual website both in Persia and English providing B2B services. All services ( both membership services and other value adding ones) of salkala are provided through www.salkala.com for you. According to this convention. In any case, this website has to be considered by you as the contract party and you will announce your agreement with this convention, when you submit any order of service and or pay for services either on-line or off-line through our authorized sales agency.

1.2 This convention contains all services, requests and orders. In case of any conflict between conditions expressed in this convention and conditions of services ordering, conditions of services ordering should be taken into account.

1.3 Managers of salkala website are allowed to correct this convention in any time and post the corrected version on the site. After being posted, the corrected version is immediately executable. While the corrected version has been posted, the continuation of your use is regarded as the admission of conditions expressed in the corrected version. This convention would not be corrected in any other form unless an authorized employee of salkala does it.

2  Services

2.1 Main features of services providable to user (which can be sometimes corrected or suspended by discretion of salkala staff) are as follows:

A) Profile of company: it allows the member to show and edit his or her basic information such as date and place of establishment, annual sales estimation, number of staff and products and services

B) Window of products: it allows the member to show his or her definitions, features and products images

2.2  salkala preserves the right to change, upgrade, correct, limit and even suspend the services on any desired time either temporarily or permanently and without any prior information. It also holds the right of introducing features, functions and new applications for services and their future versions. All these materials are under supervision of salkala unless the website announces it in another form.

2.3 The member should hold the confidentiality of user ID and user account password that have been assigned to him or her. User ID and password of every user account are all unique. The  member accepts the responsibility of any use of his or her account (e.g. revelation of any information, any online transaction and request for participation or purchase of any product or service). Salkala takes it as granted that every use of the member's user account is allowed by him or her. The member affirms that any use of his or her user account by any third party can cause an irreparable damage to salkala.com and other users of the website. Likewise, member admits to compensate for any form of damage that has been caused for salkala affiliates through the use of his or her account by other users. If the member fails to maintain the security of his or her account, salkala has the right to suspend the providing of services to him or stop the implementation of this convention without any refunds

2.4 If salkala finds the activity of a member or his or her product information contrary with any law, regulations and or legal law of third party (e.g. intellectual property ), it is authorized to decide on deletion or correction of the whole or part of that user's published materials. salkala may also suspend or stop the whole or part of services (e.g. number and types of products that a member can promote) for any time period that it determines.

2.5 salkala has the right to publish the documents related to complaint against user, his or her violations and the stop of implementation of this convention on this site. It is also allowed to suspend or stop the user account of the member.

 

2.6 salkala preserves the right to update and improve the services in any time.  This includes the improvement and classification upgradation of products and company.

3  Period of services

3.1 Period of services has no limitation for ordinary users but for gold, silver and bronze users, it is one year from the time of user account activation (unless the parties agree on another time). The user is informed of  the activation of his or her account by the email address that he or she has given to salkala in the time of registration.

3.2 For each of services, the added value of that period in which the service has been ordered is considered. However, this should be noted that all of the defined value added services of the user will end with the expiration or end of golden, silver and bronze users' services.

3.3 This convention will expire when the service period expires. However, according to conditions expressed in this convention, it can be cancelled early before expiration date and ending of services.

4. Wage and payment

4.1  according to agreement with salkala, in case of successful affirmation of user's information by website manager, the user (golden, silver and bronze) should act to pay the membership fee and his or her information will be translated into a second language ( Persia or English) by salkala during four days. The cost of all services should be paid to salkala or its authorized agency. The payment can be done by credit card, account number introduced in site or its email and any other procedure accepted by salkala. Otherwise, salkala can delete user information and stop providing services to him or her. Payments will not be returned.

4.2 salkala preserves the right to change pricing mechanisms, discounts and payment terms from time to time on its own discretion. Nevertheless, membership fees paid by users during the period and the amount committed will not change.

 5 duties of users

5.1 The user admits to provide all information, documents and signatures to salkala as needed and does not hesitate to provide necessary assistance to it. If user's non-cooperation leads to delay in providing services, there is no obligation for salkala to extend the period of services or take the responsibility for losses caused by this delay.

5.2 The obligations of user are as follows:

A) license and ability to enter this convention, admits to its implementation and adheres to the following requirements.

B) His or her activities should comply with laws and regulations

C) Never uses the services for deceiving users of the site or participating in any illegal activity.

D) Rights and permissions needed for sale, distribution or export of the goods and services that have been sent to the site or in the content of documents, he or she has referred to.

E) The contents of his or her documents should be true, legal, precise and not misleading.

F) Never impersonate

G)  The list of goods and services he or she offers is not in contradiction with the indexing policy of the site. Meanwhile, he or she should never infringe the copyright, patent, trademark and any intellectual property of a third party.

H) His or her membership documents should not include any type of defamatory, libelous, threatening and annoying information.

I) His or her membership documents should not include any type of information about sexual, racial, religious and age discriminations.

 5.3 members accept to avoid the following items:

A) Copy, reproduction, exploitation and expropriation of folders, database and lists of salkala .

B) Use and distribution of computer viruses and other malicious codes that may lead to damage or expropriation of hardware and software systems or data and information.

C) Any effort for accessing computer systems which are used by salkala or any other user of the site.

5.4 All of user's activities should comply with applicable laws and accepted commercial procedures. Likewise, the member should direct his or her business affairs with integrity and ethics.

E) User acknowledges that eutra is not responsible for him or her or anyone else about the documents, account or other materials submitted by third parties.

F) User acknowledges that eutra is not responsible for the behavior of the third party. If user uses software, services, or products of the third party which are related to services provided by eutura, he or she should not consider salkala responsible for these software, services or products.

6 Limitation of commitment

6.1 salkala site undertakes to provide services with acceptable skill and care. Except materials expressly stated in this convention and as far as the law allows, services are provided based on " what is". Thereby, salkala site clearly refuses any obligation about user information and their products or services such as condition, quality, durability, efficiency, accuracy, reliability, merchantability, fitness for any particular purpose and non-infringement ( even if it could be predictable).

6.2 salkala site does not take any responsibility for indirect damages such as  damages caused by loss of profit and revenue, business failure, loss of business opportunities, data loss, underdoing and civic fault caused by use or inability to use of services (even if this damage could be predictable).

6.3  Everything downloaded is on the discretion of user, thereby he or she is responsible for any damage to computer or data loss. Any advice or notification (either oral or written) that users get from salkala make no obligation for the site unless it has been clearly stated in the convention.

7 cancellation

7.1 In case of occurrence of each of the following items, salkala has the right to cancel the convention right after e-mailing written warning to violator member. Likewise, the fees paid to unused services are taken as penalty and will not be returned to violator user.

A) User uses the services of the site for deceptive and illegal purposes and salkala has enough evidence.

B) As soon as a third party complains against a user, salkala has acceptable evidence to believe, that user intentionally has violated his or her obligations to complainant third party. This violation includes instances such as non-delivery of ordered items after receiving proof of purchase, non-payment to complainant after receiving the goods from him or her and or mismatch of received goods with terms and descriptions presented in user's document.

C) salkala has enough evidence that the user has contributed to produce or sell poor products or products that have violated the intellectual property right or other legal rights of a third party.

D) Without getting written permission from salkala, the member transfers or assigns the whole or part of his or her rights and obligations under this convention to a third party.

E) Without getting written permission from salkala, the member sells business information of users.

F) The user has been involved in sabotage for disrupting normal performance of computer systems and networks (such as unauthorized access to site systems, steal, change or deletion of information of other members without permission).

G) After ten working days passed from the date of salkala notification to violator user for any of above six violation instances and he or she has not tried to correct it.

H) The user has committed the breach of obligation more than three times in a form apart from aforementioned six instances.

8 Accident

Salkala has no obligation about any delay or service disruption engendered by  natural causes, forces or any uncontrollable factor (e.g., failures of internet, computer, telecommunications and other equipment failures, power plant failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortage of labor and materials, terrorism, war, governmental actions, orders of international and domestic courts and tribunals)

9 general provisions

9.1 This convention includes the entire agreement between salkala and users about use of services and it is an alternative for any type of prior oral or written agreement with the same issue.

9.2 This convention is controlled under Iranian law.

9.3 In the case that any of provisions of this convention is invalid and unenforceable, that provision should be excluded and other ones are enforced.

9.4 Headings are just for references and don’t specify the scope and range of a section.

9.5 The failure of etutra in implementing its right under this convention never means the waiver of this right.  The waiver is only expressed in written form.

9.6 etutra has the right to assign this convention (including all rights, titles, advantages and their requirements) to every person or institution. But, users are not allowed to assign even a part of this convention to any other person or institution.
